The foundation’s governance framework defines authority boundaries, maintains organizational continuity and establishes institutional expectations for responsible decisions.

Board of directors

Oversight that balances continuity and renewal

Directors serve one-year terms and may be re-elected. Staggered terms preserve institutional experience while allowing regular renewal; the current board holds elections each April.

Meetings

At least once per quarter

The board holds at least four regular meetings each calendar year, and special meetings are permitted.

Quorum

More than half of serving directors

More than half of serving directors constitute a quorum; ordinary matters pass by majority vote at meetings where a quorum is present.

Committees

Specialized oversight

The board may establish committees of two or more directors, subject to reserved powers and conflict-of-interest rules.

Principal officers

Defined roles, annual accountability

Principal officers include the President, Vice President, Secretary and Treasurer. Each serves a one-year term, with consecutive terms limited by the governance documents.
